That's what I've done in the past (build new and migrate).  Is it just a single host you're dealing with?

Are you using Exchange 2010 Database Availability Groups (DAG)?  It could be as simple as reseeding databases to a newly created Exchange 2010 VM after adding it to the DAG.  If not mailbox migrations...

The best and simple way to do that is:Make new Exchange nodes as virtual machines to be member on your current physical DAG after that move your Databases on it, then make additional domain controller...
